When you run payroll for a US client\nfrom outside the US, you&#8217;re operating inside someone else&#8217;s compliance obligation, and the exposure\ndoesn&#8217;t stay tidily on their side of the line. The Trust Fund Recovery Penalty can reach an agent\nwith authority over a business&#8217;s funds, at 100% of the withheld tax that never made it to the\nTreasury. That&#8217;s worth reading twice before you accept signing authority on a client&#8217;s bank\naccount.<\/p>\n<p>Fair warning: 2026 also moved the paperwork. Three new Form W-2 box 12 codes went live, box 14 split\ninto two, and the wage-reporting threshold shifted for the first time in a generation. Then pick a calculation method from <a href=\"https:\/\/www.irs.gov\/publications\/p15t\" target=\"_blank\" rel=\"noopener\">Publication 15-T<\/a>, percentage method if you&#8217;re\ncomputing in a spreadsheet, wage bracket if you&#8217;re sanity-checking software output by hand.<\/p>\n<p>The rates themselves are short enough to know cold.<\/p>\n<p>Social Security takes 6.2% from the employee and 6.2% from the employer, and it stops once that\nemployee&#8217;s wages for the year reach the 2026 base of $184,500\n(<a href=\"https:\/\/www.irs.gov\/taxtopics\/tc751\" target=\"_blank\" rel=\"noopener\">IRS Topic 751<\/a>). Medicare takes 1.45% from each side and\nnever stops. Additional Medicare Tax of 0.9% then comes out of the employee&#8217;s wages above $200,000\nin the year, with no employer match against it (that last clause is the one people mirror by\nreflex, and not every payroll system flags it).<\/p>\n<p>Unemployment tax sits in its own lane. FUTA is 6.0% on the first $7,000 paid to each employee, with\na credit of up to 5.4% where the client has paid state unemployment tax in full and on time, which\nlands the effective rate at 0.6% (<a href=\"https:\/\/www.irs.gov\/taxtopics\/tc759\" target=\"_blank\" rel=\"noopener\">IRS Topic 759<\/a>). You deposit\nFUTA only once the liability passes $500 for the year (it carries forward quarter to quarter until\nit does). Notice the dependency built into that\ncredit: a late state payment costs the client twice, once at state level and again on the federal\nreturn.<\/p>\n<p>So where does payroll actually go wrong? Rarely in the arithmetic. It goes wrong on the deposit\nclock.<\/p>\n<p>Think of it this way: for a typical Form 941 filer, the client&#8217;s 2026 deposit schedule isn&#8217;t determined by 2026 payroll; it is set by a lookback period covering four quarters, running from 1 July of the second preceding year to 30 June of the prior year.\nReport $50,000 or less of employment tax across that window and the client deposits\nmonthly. Report more and they deposit semiweekly\n(<a href=\"https:\/\/www.irs.gov\/taxtopics\/tc757\" target=\"_blank\" rel=\"noopener\">IRS Topic 757<\/a>).<\/p>\n<p>Monthly means one deposit covering everything paid in the month, due by the 15th of the month\nafter. Semiweekly splits on payday instead: a Wednesday, Thursday or Friday payday deposits by the\nfollowing Wednesday, while a Saturday, Sunday, Monday or Tuesday payday deposits by the following\nFriday.<\/p>\n<p>Here&#8217;s what that looks like on a real calendar.<\/p>\n<p><em>The client reported $11,700, $11,400, $12,000 and $11,700 of employment tax across the four\nlookback quarters, which totals $46,800. That&#8217;s under $50,000, so they&#8217;re a monthly depositor for\n2026. A payday on Wednesday 14 January makes the deposit due 15 February, which falls on a Sunday,\nso it rolls to the next business day. That Monday, 16 February, is Washington&#8217;s Birthday, so the\ndeposit is timely on Tuesday 17 February.<\/em><\/p>\n<p>Worth flagging: two rules override that schedule entirely. Accumulate $100,000 or more of employment tax liability on any single day in a deposit period and that amount is due the next business day, after which the\nclient becomes a semiweekly depositor for the remainder of the year and all of the following one.\nAnd every federal deposit has to move by electronic funds transfer, through EFTPS, the client&#8217;s\nbusiness tax account, or Direct Pay (<a href=\"https:\/\/www.irs.gov\/businesses\/small-businesses-self-employed\/depositing-and-reporting-employment-taxes\" target=\"_blank\" rel=\"noopener\">IRS<\/a>).\nA cheque in the post is not a deposit.<\/p>\n<p>Filing is the reconciliation layer, not the payment. Form 941 goes in quarterly, or Form 944\nannually where the IRS has specifically notified the client to use it (a client cannot simply elect\nthe annual form because it suits them). Form 940 is due 31 January,\nextended to 10 February when every FUTA deposit landed on time. Forms W-2 and W-3 close the year\nout.<\/p>\n<p>Miss a deposit and the ladder runs 2% at one to five days late, 5% at six to fifteen days, 10%\nbeyond fifteen, and 15% once more than ten days have passed since the IRS notice\n(<a href=\"https:\/\/www.irs.gov\/payments\/failure-to-deposit-penalty\" target=\"_blank\" rel=\"noopener\">IRS<\/a>). Those tiers replace each other\nrather than stacking, so a deposit twenty days late costs 10%, not 17%.<\/p>\n<p>Book the run properly while you&#8217;re in the file. The IRS applies a common law test built on three\ncategories of evidence: behavioural control, meaning whether the business directs how the work gets\ndone; financial control, covering how the worker is paid, who supplies the tools, and who carries\nunreimbursed expense; and the type of relationship, which looks at written contracts, benefits,\npermanence, and whether the work is a core business function\n(<a href=\"https:\/\/www.irs.gov\/businesses\/small-businesses-self-employed\/independent-contractor-self-employed-or-employee\" target=\"_blank\" rel=\"noopener\">IRS<\/a>).\nNo single factor settles it, and a contract that calls someone a contractor certainly doesn&#8217;t.<\/p>\n<p>Where the answer genuinely isn&#8217;t clear, either party can file Form SS-8 and ask the IRS to determine\nit, though a determination takes at least six months (six is the floor, not the average, so it is\nnever the answer to a live payroll deadline). Section 530 relief can protect a business that\nhad a reasonable basis for its treatment, but only where it filed consistent information returns and\nnever treated substantially similar workers as employees. A worker who was misclassified uses Form\n8919 to report the FICA that was never withheld.<\/p>\n<p>The federal labour position shifted underneath this and hasn&#8217;t fully settled. In Field Assistance\nBulletin 2025-1, dated 1 May 2025, the Department of Labor instructed its investigators to stop\napplying the 2024 independent contractor rule and to return to the earlier economic reality analysis\nin Fact Sheet 13 (<a href=\"https:\/\/www.dol.gov\/sites\/dolgov\/files\/WHD\/fab\/fab2025-1.pdf\" target=\"_blank\" rel=\"noopener\">DOL<\/a>). Worth\nflagging: that change governs DOL enforcement only. The 2024 rule still applies in private\nlitigation, a replacement rule was proposed in February 2026, and state tests such as California&#8217;s\nare stricter and entirely unaffected by any of it.<\/p>\n<p>On overtime, the number to work from is $684 a week, or $35,568 a year, for the executive,\nadministrative and professional exemption, alongside $107,432 in total annual compensation for the\nhighly compensated exemption. The 2024 increase toward $1,128 was vacated by a federal court in\nNovember 2024 and the rule was formally rescinded in May 2026, restoring the 2019 levels\n(<a href=\"https:\/\/www.congress.gov\/crs-product\/IF12480\" target=\"_blank\" rel=\"noopener\">Congressional Research Service<\/a>). If a client&#8217;s\nhandbook still cites $844, it&#8217;s out of date.<\/p>\n<p>Now, here&#8217;s where it gets interesting for anyone closing out a 2026 year. The General Instructions\nfor Forms W-2 and W-3 add three box 12 codes: TP for the total cash tips an employee reported, TT for\nqualified overtime compensation, and TA for contributions to a Trump account\n(<a href=\"https:\/\/www.irs.gov\/instructions\/iw2w3\" target=\"_blank\" rel=\"noopener\">IRS<\/a>). Box 14 has been split into 14a for the old &#8220;other&#8221;\ncontent and 14b for the Treasury Tipped Occupation Code, which has to accompany any tips reported\nunder code TP.<\/p>\n<p>Three further changes in the same instructions matter more than they look. The wage-reporting\nthreshold rises from $600 to $2,000 for wages paid after 2025 where no federal income, Social\nSecurity or Medicare tax was withheld, and it will index with inflation from there. Employee\ncontributions to state paid family and medical leave programmes, along with employer voluntary\npayments, now get reported as wages. And tax year 2026 forms are due to the Social Security\nAdministration and to employees by 1 February 2027, with electronic filing mandatory once the\nclient&#8217;s information returns reach ten in aggregate across all form types, not ten of any one type.<\/p>\n<p>Two rules apply to you rather than to the client, and this is where remote bookkeepers most often\nfind themselves exposed. Preparing a Form 941 is unrestricted. But signing and filing one on a\nclient&#8217;s behalf requires Form 8655, Reporting Agent Authorization, and paper filing requires Form\n2848 instead (<a href=\"https:\/\/www.irs.gov\/forms-pubs\/about-form-8655\" target=\"_blank\" rel=\"noopener\">IRS<\/a>). Filing without that\nauthorisation on record isn&#8217;t a technicality anyone waves through.<\/p>\n<p>The second is heavier. The Trust Fund Recovery Penalty makes any responsible person liable for 100%\nof unpaid trust fund taxes, meaning the withheld income tax and the employee&#8217;s FICA share, and the\nIRS treats an agent with authority over the business&#8217;s funds as capable of being a responsible\nperson (<a href=\"https:\/\/www.irs.gov\/individuals\/international-taxpayers\/trust-fund-recovery-penalty\" target=\"_blank\" rel=\"noopener\">IRS<\/a>).\nWillfulness is the second condition, and it&#8217;s a lower bar than it sounds: paying other business\nexpenses when you knew the tax was outstanding satisfies it.<\/p>\n<p>Bottom line: authority over the money is what creates the exposure, not the job title on your\ninvoice. Worker sets own hours, supplies own laptop and software licences,\ninvoices monthly at a fixed project rate, serves three other firms, receives no benefits and no\ntraining, engagement letter runs project to project. Behavioural control low, financial control low,\nrelationship non-permanent and outside the client&#8217;s core service line.
